Companies intending to list their shares on the Indonesia Stock Exchange (IDX) must appoint several external professionals, one of which is the Share Registrar as the provider of administrative services for the company’s share ownership.

During the IPO preparation period, our team will participate in coordination meetings and draft lock-up statements for scrip shares designated for IDX.

Upon receiving the effective letter from the Financial Services Authority (OJK), Share Registrar will prepare reports on shareholder composition and compile the shareholder list for the Indonesia Stock Exchange (IDX). Additionally, we will manage the distribution of the allotted shares to investors.

Pasar Sekunder

On the secondary market, Share Registrar offers administrative services for maintaining the Shareholder List of companies listed on the Indonesia Stock Exchange (IDX). We collaborate with the Indonesia Central Securities Depository (KSEI) to manage scripless shares, which are subsequently consolidated with scrip shares.

Share Registrar is responsible for preparing and submitting reports to the IDX, the Financial Services Authority (OJK), and the Issuers, including daily, weekly, monthly, and annual reports.

Our team also provides guidance to issuers to ensure compliance with regulations established by the IDX and OJK during Corporate Actions.

Additionally, we are actively involved in General Meetings of Shareholders (GMS), which includes creating schedules, registering shareholders during the RUPS, assisting notary with vote counting, and submitting RUPS reports to the issuers and notary.

Our services also encompass daily warrant reporting, transfer of title on scrip shares, conversion of scrip to scripless shares and vice versa, distribution of dividends and bonus shares, as well as the administration of inherited shares.

CORPORATE ACTION

  • Right issue (PUT HMETD)

    An increase in capital by the issuer through the issuance of pre-emptive rights to shareholders registered on a specified date. The Share Registrar will assist the Issuer in planning, implementing, allocation, refunds and issuance of new shares.

  • Non Pre-Emptive Right Issue (PMTHMETD)

    An increase in capital by the issuer to certain prospective shareholders without issuing pre-emptive rights. The Share Registrar is involved in the planning and issuance of new shares.

  • Reverse Stock

    The consolidation of the nominal value of shares according to a specific ratio, resulting in a reduced number of outstanding shares and a higher theoretical share price. The Share Registrar is involved in the planning, calculation of shares resulting from the reverse stock, and listing the shares on the Stock Exchange.

  • Stock Split

    The division of the nominal value of shares according to a specific ratio, resulting in an increased number of outstanding shares and a lower theoretical share price. Our role as the Share Registrar is to oversee the planning, calculation, and listing of shares on the stock exchange following a stock split.

  • Merger

    A merger is the consolidation of two or more companies into a single entity, whereby the merging company takes over all the assets and liabilities of the merged company. The Share Registrar plays a role in ensuring the success of this corporate action, from the initial planning stages and purchase of shares that do not agree to the merger, through to the listing of shares on the Stock Exchange.

  • Tender Offer

    The purchase of shares of a public company by certain parties either compulsorily, which may be mandatory due to an acquisition or voluntary to increase ownership. The role of the Share Registrar is to assist the party conducting the tender offer from the initial permission process with OJK to the preparation of the report on the results of the Tender Offer.

  • Go private

    The process by which a publicly listed company on the Indonesia Stock Exchange decides to become a private company and its shares can no longer be traded on the Indonesia Stock Exchange. The Share Registrar provides assistance throughout the Go Private process, from initial planning stages, the implementation of Tender Offer to providing information to all shareholders who wish to sell their shares. We ensure the process meets the criteria to become a privately held company.
